Digital Non-Disclosure and 
Consent Form

By signing my conformity herein, I, [use the form box below], of legal age, Filipino, with residence address at

[use the form box below], hereby agree that:


NON-DISCLOSURE

  1. I will not disclose, publish, or disseminate Confidential Information to anyone, whether in person or through the means of social media, or in any form possible, nor I shall give any hint to any third person, in whatever form, regarding the Confidential Information. Confidential Information shall mean all non-public information which 1Z Entertainment discloses in the course of its communications regarding [use the form box below] (“Project”), including, but not limited to:

    1. Personal information, sensitive personal information, documents, contracts, agreements, and certifications;
    2. The terms of any agreement in relation to the Project including this Non-Disclosure and Consent Form, and the discussions and decisions related to any agreement;
    3. All other non-public information provided by 1Z Entertainment, through text messages, chat messages, or any other form of communication in relation to the Project.
    4. Artist’s photos, schedules, studio location, activities, sessions, and the like;
    5. Project plans, creative works, songs, choreographies, and such other creative output in relation to the Project; and 
    6. Any information in relation to 1Z’s employees/consultants/contractors, which shall include their social media accounts and personal information.

  2. I agree not to use Confidential Information for any other purpose or for its own or any third party’s benefit without the prior written consent of 1Z Entertainment, or its authorized representative, in each instance.

  3. I understand that the rights and obligations as stated herein shall also inure to my affiliates or representatives, to which such rights and obligation may be directly enforced against such affiliates or representatives.

  4. In the event that I disclose any Confidential Information as stated herein, 1Z Entertainment has the right to file any appropriate case or take necessary actions under the law against me. Further, 1Z Entertainment has the right, in addition tom its other rights and remedies, to seek injunctive relief for any breach of any of my warranties, representations, or obligations herein.

  5. I will return to 1Z Entertainment all tangible Confidential Information, including but not limited to all electronic files, documentation, notes, plans, drawings, photographs, and copies thereof, or will provide 1Z Entertainment with written certification that all such tangible Confidential Information has been destroyed, within five (5) days upon written request.

  6. My duty to protect 1Z Entertainment’s Confidential Information is perpetual. The termination of any of my contracts with 1Z Entertainment shall not relieve me of its confidentiality and use obligations with respect to Confidential Information.

CONSENT FORM

  1. I authorize 1Z Entertainment to use my image (still or moving) and/or my voice attached to such images, videos, and recordings, in relation to the Project, in perpetuity, for any of its business engagements, endeavors, and projects which are or may be conceptualized now and in the future.

  2. I authorize 1Z Entertainment to distribute my image or recording in any medium, be it print or electronic form, which may include the worldwide web, provided that it is in relation to 1Z Entertainment’s legitimate business endeavors.

  3. I understand that there is no reimbursement, payment, royalties, commission or any form of compensation for 1Z Entertainment’s right to take, to use, or distribute my photograph, videos, or recording in relation to the Project.

  4. I hereby indemnify, defend, hold free and harmless 1Z Entertainment against and in respect of any and all claims, causes of action, costs, expenses, losses, liabilities, damages, and obligations incurred arising from or relating to the unauthorized copying, usage, and distribution of any material featuring my image, provided that 1Z Entertainment is not at fault or is not grossly negligent with respect to the usage such material.
  1. WARRANTIES and GENERAL PROVISIONS

  2. I possess full power, capacity, and authority to execute this document and to join the Project of 1Z Entertainment.

  3. The execution of this document will not result in any breach of, or constitute a default of any law, order, rule, regulation or any agreement to which I am a party or by which it may be bound or affected.

  4. This document may be executed in any number of counterparts, each of which is an original, but all of which together constitute one and the same form. This document may be executed electronically or by way of electronic signature and such electronic signatures shall be deemed original signatures, have the same force and effect as manual signatures and binding upon the signatory/ies. If this document shall be executed electronically, the best evidence of this document shall be a copy of this document bearing an electronic signature, in portable document format (.pdf) form, or in any other electronic format intended to preserve the original graphic and pictorial appearance of a document.

By submitting this ID, I consent to the processing of my personal data by 1Z Entertainment in accordance with the Philippines' Data Privacy Act of 2012 and company security protocols.

By checking this box / typing my full legal name above, I acknowledge that I have read, understood, and agreed to the terms of the Non-Disclosure Agreement (NDA). I confirm that I am authorized to bind myself (or the entity I represent) to these confidentiality obligations.
